Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Harbor Labs LLC ("Harbor Labs", "we", "us"). They cover the WAKD iPhone app (the "App") and the website wakd.app (the "Site"), together the "Service". By downloading or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Who can use WAKD

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, a parent or legal guardian must agree to these Terms for you.

Your license

We give you a personal, non-exclusive, non-transferable, revocable license to download the App and use it on Apple devices that you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions. You may not copy, modify, reverse engineer, resell or redistribute the App, or remove any proprietary notices, except where the law allows it.

Health and safety

WAKD asks you to do physical activity, such as push-ups and other exercises, to turn off an alarm. Please read this carefully:

  • It is not medical advice. The App is not a medical device and does not diagnose, treat or prevent any condition.
  • Know your limits. Talk to a doctor before starting any exercise program, especially if you are pregnant, injured, or have a heart, joint, breathing, blood-pressure or other health condition. Stop right away if you feel pain, dizziness, faintness or shortness of breath.
  • Mind your surroundings. You may be drowsy when the alarm rings. Make sure you have enough clear space, a stable surface and enough light before exercising. Do not exercise where you could fall or hurt someone else.
  • Change it if you need to. You can choose a different exercise or adjust an alarm at any time. Never push yourself further than is safe because of the App.

You exercise at your own risk. To the extent the law allows, we are not responsible for any injury or health problem that results from activities you do while using the App.

Alarms are not guaranteed

We work hard to make alarms ring reliably, but they depend on your device, its settings, its battery and iOS. An alarm may not ring, or may ring late, if, for example, your device is turned off, out of battery, restarted, or set up in a way that blocks it. Do not rely on the App as your only alarm for anything critical, such as taking medication, catching a flight, or safety-related tasks.

Acceptable use

When using the Service, you agree not to:

  • break any law or anyone else's rights;
  • interfere with, overload, or try to get unauthorized access to the Service or the systems behind it;
  • use bots, scrapers or other automated tools on the Service, except as normal search engines do with the Site;
  • copy, resell or exploit the Service for any commercial purpose without our written permission;
  • use the Service to build a competing product.

Our content and your feedback

The App, the Site and everything in them, including the WAKD name, logo, design, text, sounds and code, belong to Harbor Labs or our licensors and are protected by intellectual property laws. These Terms do not give you any rights to them except the license above.

If you send us ideas or feedback, we may use them freely and without any obligation to you.

Third-party services

The Service relies on services from other companies, such as Apple. Their terms and privacy policies apply to your use of them, and we are not responsible for them.

Changes to the Service

We may add, change or remove features, or stop offering the Service, at any time.

Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ALARMS WILL ALWAYS RING, OR THAT EXERCISE DETECTION WILL ALWAYS BE ACCURATE.

Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, Harbor Labs WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OPPORTUNITIES OR GOODWILL, INCLUDING FROM A MISSED OR LATE ALARM. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND USD 50.

Some places do not allow these exclusions or limits, so they may not apply to you. Nothing in these Terms limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law.

Indemnity

To the extent the law allows, you agree to defend and compensate Harbor Labs for claims, losses and costs (including reasonable legal fees) arising from your misuse of the Service or your breach of these Terms.

Ending these Terms

You can stop using the Service at any time by deleting the App. We may suspend or end your access if you seriously or repeatedly break these Terms. The sections on health and safety, alarms, our content, disclaimers, limitation of liability, indemnity and governing law continue to apply after these Terms end.

Apple App Store terms

These terms apply when you get the App from Apple's App Store:

  • These Terms are between you and Harbor Labs only, not Apple. Harbor Labs, not Apple, is solely responsible for the App and its content.
  • Apple has no obligation to provide maintenance or support for the App.
  • If the App does not conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the App. Any other claims, losses, liabilities, damages, costs or expenses caused by a failure to conform to a warranty are Harbor Labs's responsibility.
  • Harbor Labs, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your use of it, including product liability claims, claims that the App fails to meet legal or regulatory requirements, and claims under consumer protection, privacy or similar laws.
  • If a third party claims that the App or your use of it infringes their intellectual property rights, Harbor Labs, not Apple, is responsible for investigating, defending, settling and discharging that claim.
  • You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms when using the App.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept them, Apple has the right to enforce these Terms against you as a third-party beneficiary.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any dispute will be handled by the state courts located in Natrona County, Wyoming, or the United States District Court for the District of Wyoming, and you and we agree to their jurisdiction. If you are a consumer in the European Union, the United Kingdom or another country that gives you mandatory consumer rights, you keep those rights and may bring claims in your local courts.

Before filing a claim, please contact us at support@harborlabs.io so we can try to resolve it informally.

Changes to these Terms

We may update these Terms from time to time. We will change the date at the top. If a change is significant, we will notify you in the App or on the Site before it takes effect. If you keep using the Service after a change takes effect, you accept the updated Terms.

General

If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
